Oppti Terms of Service
Effective date: October 25, 2026
Owner: Bernardo Moreno, an individual doing business as Oppti ("Oppti," "we," "us")
Contact: support@oppti.app
These Terms of Service ("Terms") govern your purchase of an Oppti membership and your use of the Oppti macOS application (the "App"), our website, and related services (together, the "Service"). By creating a membership, downloading, or using the App, you agree to these Terms. If you don't agree, don't use the Service.
Please read Section 13 carefully. It requires most disputes to be resolved through binding individual arbitration instead of in court, and it waives your right to a jury trial and to take part in a class action. You can opt out within 30 days, as Section 13.4 explains.
1. Who can use Oppti
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. If you use Oppti on behalf of an organization, you confirm you're authorized to accept these Terms for it, and "you" includes that organization.
2. What Oppti does
Oppti is a menu bar app that, with your permission, reads items from accounts you link (such as Gmail, Slack, Apple Calendar, and Apple Reminders) and builds a prioritized task list. The App processes that content on your Mac. We don't receive, store, or have access to your emails, messages, calendar events, or tasks. See our Privacy Policy for details.
Prioritization is automated and is a suggestion only. You're responsible for reviewing your own messages and deadlines. Oppti may miss, misclassify, or mis-rank items.
3. Membership, billing, and auto-renewal
3.1 Plans. Oppti is sold as a recurring membership (monthly or annual) that includes the right to download, install, and use the App and receive updates while your membership is active. Current prices are shown at checkout.
3.2 Free trial. New members get a free 14-day trial. No payment method is required, and nothing is charged when the trial ends unless you choose a plan.
3.3 Automatic renewal. Your membership renews automatically at the end of each billing period at the then-current price, and your payment method will be charged, until you cancel. For annual plans, we'll email you a reminder at least 15 days before renewal. We'll give at least 30 days' notice of any price change, and the change takes effect at your next renewal.
3.4 Cancellation. You can cancel anytime online at oppti.app/account or via the link in any receipt email — no phone call or email required. Cancellation stops future renewals; you keep access until the end of the period you've paid for.
3.5 Payment processor. Payments are processed by our payment processor, which acts as the merchant of record and may collect applicable sales tax or VAT. Their terms also apply to your purchase.
3.6 Refunds. See our Refund Policy.
4. License to use the App
Subject to these Terms and an active membership (or trial), we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App on up to 3 Macs that you own or control. The App is licensed, not sold. Your use of the App is also governed by the End User License Agreement; if they conflict, these Terms control.
When your membership ends, the App stops building new task lists. Your existing data remains on your Mac until you delete it.
5. Linked accounts and third-party services
You link third-party accounts (e.g., Google, Slack) directly through those providers' authorization screens. You're responsible for complying with those providers' terms and any policies of your employer. We aren't responsible for third-party services, their availability, or changes to their APIs that affect the App. You can revoke Oppti's access at any time in the App's settings or in your account settings with the provider.
If you link a work account, make sure your organization permits using third-party tools with it.
6. Acceptable use
You agree not to: (a) copy, modify, distribute, sell, or sublicense the App; (b) reverse engineer, decompile, or disassemble the App except where applicable law expressly permits it; (c) bypass or tamper with license checks; (d) share license keys outside the device limit; (e) use the Service to violate any law or anyone's rights; or (f) use the App to access accounts you're not authorized to access.
7. Updates and changes
We may release updates that add, change, or remove features. We may change these Terms; if a change is material, we'll notify you by email or in the App at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the new Terms. If you don't agree, cancel before the change takes effect and we'll refund any prepaid, unused portion of an annual plan.
8. Intellectual property and feedback
We own the App, the Service, and the Oppti name and logo. You own your data. If you send us feedback or ideas, we may use them without obligation to you.
Gmail, Google Calendar, Outlook, Microsoft 365, Slack, GitHub, Linear, and other product names shown in the App are trademarks of their respective owners. They're used only to identify the services you can link. Oppti is not affiliated with, endorsed by, or sponsored by any of them.
Accepting these Terms. You accept these Terms by checking "I agree" in the App or at checkout. The App records the version you accepted and the date. When we materially change these Terms, the App asks you to review and accept the new version before you continue.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE APP WILL IDENTIFY EVERY IMPORTANT ITEM, RANK ITEMS CORRECTLY, OR BE ERROR-FREE OR UNINTERRUPTED. YOU'RE RESPONSIBLE FOR YOUR OWN DEADLINES AND COMMUNICATIONS.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NEITHER OPPTI NOR ITS OWNER, CONTRACTORS, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR MISSED DEADLINES, MESSAGES, OR OPPORTUNITIES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE, UNDER ANY LEGAL THEORY, WON'T EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $50. THESE LIMITS ARE AN ESSENTIAL PART OF THE BARGAIN AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DON'T ALLOW CERTAIN LIMITS, SO SOME MAY NOT APPLY TO YOU; NOTHING HERE LIMITS LIABILITY THAT CAN'T BE LIMITED BY LAW.
11. Indemnity
To the extent permitted by law, you'll defend, indemnify, and hold harmless Oppti and its owner and contractors from any third-party claims, losses, and costs (including reasonable attorneys' fees) arising from your misuse of the Service, your violation of these Terms, or your violation of anyone else's rights or any third-party service's terms.
12. Termination
You can stop using the Service at any time. We may suspend or end your license if you materially breach these Terms (for example, sharing or cracking license keys). If we end your membership without cause, we'll refund the prepaid, unused portion.
13. Disputes
13.1 Governing law. These Terms are governed by the laws of the State of California and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict-of-laws rules.
13.2 Talk to us first. Before filing any claim, email support@oppti.app with a description of the problem and what you'd like, and give us 30 days to try to resolve it. Most issues end here.
13.3 Binding individual arbitration. If we can't resolve a dispute informally, you and we agree to resolve any dispute relating to the Service or these Terms through final, binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration may be held by video or phone, or in the county where you live. For claims under $10,000, we'll pay the AAA filing and arbitrator fees that exceed what you would pay to file in court. Either of us may instead bring an individual claim in small-claims court if it qualifies. Either of us may also go to court to stop infringement or misuse of intellectual property.
13.4 Your right to opt out. You can opt out of this arbitration agreement by emailing support@oppti.app within 30 days after you first accept these Terms, with your name and the subject line "Arbitration opt-out." Opting out doesn't affect any other part of these Terms.
13.5 No class actions or jury trials. To the extent permitted by law, you and we may bring claims against each other only individually, not as a plaintiff or class member in any class, collective, or representative proceeding, and you and we each waive the right to a jury trial. If this class-action waiver is found unenforceable for a claim, that claim goes to court, not arbitration. Nothing in this Section stops you from seeking public injunctive relief where the law guarantees that right; any such request goes to court, and it waits until the individual arbitration is finished.
13.6 Courts. Any dispute that isn't arbitrated will be resolved only in the state or federal courts located in Sacramento County, California, and you and we consent to their jurisdiction.
13.7 Time limit. To the extent permitted by law, any claim relating to the Service must be filed within one year after it arises, or it's permanently barred.
13.8 Consumers in the EU/UK keep the protections of the mandatory laws of their country of residence and may bring claims in their local courts.
14. Apple-specific terms (if distributed through the Mac App Store)
If you got the App from the Mac App Store: these Terms are between you and us, not Apple; Apple has no obligation to provide maintenance or support; Apple isn't responsible for product claims, IP claims, or warranty; and Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them. Billing, renewals, and refunds for App Store purchases are handled by Apple under its terms.
15. General
These Terms, the Privacy Policy, the Refund Policy, and the EULA are the entire agreement between us. If any part is unenforceable, the rest still applies. Our failure to enforce a provision isn't a waiver. You can't assign these Terms without our consent. We may assign or transfer these Terms, and your membership, to a business entity we own or control (for example, a limited liability company formed to operate Oppti) or to a successor in a merger or sale, without your consent; we'll let you know when that happens, and your membership continues on the same terms. Neither of us is liable for delays caused by events beyond reasonable control. Notices. We'll send you notices by email or in the App. You can send us any notice, including a dispute notice or an arbitration opt-out, by emailing support@oppti.app; email notices are just as valid as mailed ones.
16. Contact
The fastest way to reach us is email: support@oppti.app. We answer every message, usually within a day.
Formal legal notices only: Bernardo Moreno, doing business as Oppti, 1401 21st Street, Suite R, Sacramento, CA 95811. Please don't send support requests, returns, or packages to this address; it doesn't handle them.
